everyone.Job DescriptionAs the Director of Executive Compensation,
you will be responsible for designing, implementing, and managing
executive compensation at ServiceNow. Your role will be pivotal in
ensuring ServiceNow continues to attract and retain the best
leadership talent.Key ResponsibilitiesLead the development of
executive compensation strategies, including base salary, short-
and long-term incentives, equity, and other executive
rewards.Partner with senior leadership and the Compensation
Committee to align executive compensation programs with business
performance and our talent strategy.Conduct competitive market
analyses using survey data and peer group comparisons.Monitor
trends and regulatory changes in executive pay and recommend
adjustments as needed.Prepare materials for Compensation Committee
meetings, including executive compensation benchmarking and equity
plan updates.Ensure compliance with SEC regulations, proxy
disclosure rules, and internal governance standards.Oversee the
administration of executive compensation programs, including our
annual planning cycle, equity grants, and bonus payouts.Collaborate
with Talent Acquisition, Legal, Finance, and Investor Relations on
compensation-related matters.Serve as a trusted advisor to senior
executives and HR partners on executive compensation
matters.Support communication and change management efforts related
to executive pay.QualificationsTo be successful in this role you
have:
- Experience in leveraging or critically thinking about how to
integrate AI into work processes, decision-making, or
problem-solving. This may include using AI-powered tools,
automating workflows, analyzing AI-driven insights, or exploring
AI's potential impact on the function or industry.Over 10 years of
experience in compensation, with at least 5 years focused on
executive compensation.Deep knowledge of U.S. executive pay
regulations, proxy reporting, and governance practices.Strong
analytical and financial modeling skills, with proficiency in Excel
and Workday.Experience working with Compensation Committees and
senior leadership.Excellent communication and presentation
skills.Preferred candidates will have experience in the technology
industry.Independent thinker and strong team player who enjoys
working in a collaborative and innovative environment.Excellent
communication skills, able to convey complex ideas clearly and
concisely both verbally and in writing.Ability to multitask and
manage multiple projects simultaneously.JV20For positions in this
location, we offer a base pay of $170,200 - $297,900, plus equity
(when applicable), variable/incentive compensation and benefits.
Sales positions generally offer a competitive On Target Earnings
(OTE) incentive compensation structure. Please note that the base
pay shown is a guideline, and individual total compensation will
vary based on factors such as qualifications, skill level,
competencies, and work location. We also offer health plans,
including flexible spending accounts, a 401(k) Plan with company
match, ESPP, matching donations, a flexible time away plan and
family leave programs.Compensation is based on the geographic
location in which the role is located and is subject to change
