CORPORATE DEVELOPMENT ANALYST / ASSOCIATE

Under general supervision, provides assistance with the analysis and execution of potential inorganic growth opportunities, including mergers and acquisitions, minority investments, strategic partnerships, alliances, and joint ventures.  Supports the in-depth analysis of economic, industry, customer, competitor, and financial data. Coordinates transactions from due diligence through the start of integration execution.

 

JOB RESPONSIBILITIES:

  • Supports Corporate Development team and UL business leaders to develop financial projections for M&A targets and perform various analyses, including discounted cash flow, comparable company, and precedent transactions, among others, to determine valuations.
  • Supports Corporate Development team to facilitate and coordinate the due diligence process for acquisitions. Compiles information request lists or data room indices. Coordinates onsite due diligence logistics. Participates in onsite due diligence in support of project leaders. Manages the flow of due diligence documents and tracks the status of information requests. Provides assistance to various functional due diligence teams, including: legal, finance & accounting, tax, human resources, IT, commercial and strategy, among others.
  • Performs company, competitor and industry specific research. Analyzes data to identify market trends, track competitive landscape, and screen M&A opportunities.
  • Prepares periodic reports and presentations on M&A activity for executive management and the Board of Directors.
  • Reads and follows the Underwriters Laboratories Code of Conduct, and follows all physical and digital security practices.
  • Performs other duties as directed.

  • University degree (Equivalent to a Bachelor’s degree) in Finance, Accounting, Economics or Business Administration
  • One to four years of professional level experience in investment banking, corporate development, finance, accounting or a related field.
  • Ability to interpret financial statements and analyze historical performance.
  • Ability to develop financial projections for Income Statements, Balance Sheets, and Cash Flow Statements. 
  • Ability to present information and respond to inquiries from internal or external clients, top management, and government agencies.
  • Ability to analyze and interpret a wide variety of materials including technical journals, financial reports, and legal documents.
  • Ability to gather and interpret complex information from diverse sources in a wide variety of forms. 
  • Ability to identify issues, collect data, establish facts, and present conclusions in situations where few decisions-making guidelines exist.
